  14. License Agreement
  15. -----------------
  16. The use of System-Security-API  is subject to the following terms and conditions.
  17.  
  18. Title To The Licensed Software
  19. ------------------------------
  20. Title to the licensed software is NOT transferred or sold to the end user.
  21. The end user is granted a non-exclusive license to use the software
  22. on a SINGLE computer or computer work station. EACH computer or computer 
  23. work station must have its own licensed copy of the software.
  24.  
  25. Copyright Protection
  26. --------------------
  27. System-Security-API is copyrighted material. It is protected by the copyright laws 
  28. of ISRAEL, the United States, the State of California, and other proprietary rights of 
  29. Shetef Solutions Ltd. You may not make any changes or modifications to 
  30. System-Security-API or this manual. You may not decompile, disassemble, or 
  31. otherwise reverse-engineer the software in any way.
  32.  
  33. You may make copies of System-Security-API only under the terms of the section 
  34.  
  35. titled "Limited License To Copy The Licensed Software".
  36. -------------------------------------------------------
  37. You may use System-Security-API on a thirty (30) day trial basis only, provided you 
  38. do not violate the protection afforded the licensed software by the copyright laws, 
  39. and you agree to the terms of the license agreement. 
  40. If you use System-Security-API  past the 30 day evaluation period you are required to 
  41. purchase it by paying the registration fee.
  42.  
  43. Limited Warranty
  44. ----------------
  45. Shetef Solutions Ltd. does not warrant that the licensed software will meet your 
  46. requirements or that the operation of the software will be uninterrupted or 
  47. error free. The warranty does not cover any media 
  48. or documentation which has been subjected to damage or abuse by you or others.
  49. The software warranty does not cover any copy  of the licensed software which 
  50. has been altered or changed in any way. In other words, there is no warranty either 
  51. implied or expressed.
  52.  
  53. ANY IMPLIED WARRANTIES INCLUDING ANY WARRANTIES OF MERCHANTABILITY
  54. OR FITNESS FOR A PARTICULAR PURPOSE ARE LIMITED TO THE TERM OF THE 
  55. EXPRESS WARRANTIES. Some States do not allow limitations on how long an 
  56. implied warranty lasts, so the above limitation may not apply to you.
  57.  
  58. Other Warranties
  59. ----------------
  60. The warranties set forth above are in lieu of any and all other express or implied 
  61. warranties, whether oral, written, or implied, and the remedies set forth above are 
  62. the sole and exclusive remedies.
  63.  
  64. Limitation Of Liability
  65. -----------------------
  66. Shetef Solutions Ltd. is not responsible nor liable in anyway for any problems or damage 
  67. caused by the licensed software that may result from using the licensed software. 
  68. This includes, but is not limited to, computer hardware, computer software, 
  69. operating systems, and any computer or computing accessories. End user agrees to 
  70. hold Shetef Solutions Ltd. harmless for any problems arising from the use of the software.
  71.  
  72. Shetef Solutions Ltd. SHALL NOT IN ANY CASE BE LIABLE FOR ANY SPECIAL, 
  73. INCIDENTAL, CONSEQUENTIAL, INDIRECT OR OTHER SIMILAR DAMAGES 
  74. ARISING FROM ANY BREACH OF THESE WARRANTIES EVEN IF Shetef Solutions Ltd.
  75. OR ITS AGENTS OR DISTRIBUTORS HAVE BEEN ADVISED OF THE POSSIBILITY 
  76. OF SUCH DAMAGES. 
  77. THIS AGREEMENT SHELL BE GOVERNED BY THE LAWS OF ISRAEL AND SHELL 
  78. INURE TO THE BENEFIT OF Shetef Solutions Ltd. AND 
  79. ANY SUCCESSORS, ADMINISTRATORS, HEIRS, AND ASSIGNS. ANY ACTION OR 
  80. PROCEEDING BROUGHT BY EITHER PARTY AGAINST THE OTHER ARISING OUT 
  81.  
  82. OR RELATED TO THIS AGREEMENT SHALL BE BROUGHT ONLY IN ISRAEL. 
  83.  
  84. In no case shall Shetef Solutions Ltd. liability exceed the license fees paid for the right 
  85. to use the licensed software, or a sum no greater than one Dollar ($1.00), 
  86. whichever is less.
  87.  
  88. Limited License To Copy The Software
  89. ------------------------------------
  90. You are granted a limited license to copy System-Security-API ONLY FOR THE TRIAL 
  91. USE OF OTHERS subject to the terms of this software license agreement described 
  92. herein, and that the conditions described below are met.
  93.  
  94. * No fee, charge or other compensation may be accepted or requested by anyone 
  95.        without the express written permission of Shetef Solutions Ltd.
  96.  
  97. * Public Domain Disk Vendors May NOT CHARGE a fee for the System-Security-API 
  98.       itself. 
  99.  
  100.  However you may include System-Security-API on a diskette/CD-ROM for which you 
  101.  charge a nominal distribution fee. 
  102.  
  103.  The purchaser of said diskette must be informed in advance that the fee paid to 
  104.  acquire the diskette does NOT relieve said purchaser from paying the Registration 
  105.  Fee for System-Security-API if said purchaser uses System-Security-API.
  106.  
  107. * The  statement of shareware registration requirements MUST be printed on a 
  108.   label, or other form, that is directly attached to the distribution media.
  109.  
  110. * Operators of electronic bulletin board systems (Sysops) may post System-Security-API
  111.   for downloading by their users without written permission ONLY AS LONG AS 
  112.   THE ABOVE CONDITIONS ARE MET.  A fee may be charged for access to the 
  113.   BBS AS LONG AS NO SPECIFIC FEE IS CHARGED FOR DOWNLOADING 
  114.   System-Security-API files without first obtaining the express written permission from 
  115.   Shetef Solutions Ltd. to charge such a fee.
  116.  
  117. Evaluation and Registration
  118. ---------------------------
  119. This is not free software.  This license allows you to use this software for evaluation 
  120. purposes without charge for a period of 30 days.  If you use this software after the 
  121. 30 day evaluation period a registration fee of 499 US Dollars is required.  Payment 
  122. can be in Cash, money order, checks Payments in checks must be in US dollars 
  123. drawn on a US bank or Israeli shekels, cash payment can be in any currency.

  134. unregistered messages and documentation.

  138. The registered copy license agreement
  139. -------------------------------------
  140.  
  141. 1.    GRANT OF LICENSE. This is a legal agreement between The client and Shetef Solutions Ltd.
  142.     This Agreement Supersedes all prior agreements, proposals, and representations between 
  143.     the client and Shetef Solutions Ltd.
  144.  
  145. 2.    LICENSE TO DEVELOP PROGRAMS. You may use System-Security-API (the "PRODUCT") to develop
  146.     computer programs in compiled linked and commercially executable form (your "Application 
  147.     programs"),provided none of the programs constitute a computer security product that 
  148.     could be used to compete with any Shetef Solutions Ltd. products currently available. 
  149.     You must include Shetef Solutions Ltd. copyright notices in any and all Application 
  150.     Programs.
  151.  
  152. 3.    MULTI_USER. If the product label specifies a multi-user operating system, the PRODUCT 
  153.     may be used by the same number of programmers as the number of manual sets you have 
  154.     purchased. For single user operating system you must obtain a license and manual set 
  155.     for each CPU (effectively each programmer or work station on a network) on which the 
  156.     product is used, whether in source code or object code.
  157.  
  158. 4.    LICENSE TO REPRODUCE.You may reproduce, and distribute royalty-free your Aplication 
  159.     Programs and the runtime moduls of the PRODUCT provided that you: 
  160.     (a) distribute the run-time moduls only in conjunction with and as a part of your 
  161.     software product. 
  162.     (b) include a valid Shetef Solutions Ltd. copyright notice on your software product. 
  163.     (c) distribute only on the operating environment specified on the media labels.
  164.  
  165. 5.    INDEMNIFICATION. You agree to idemnify, hold harmless, and defend Shetef Solutions Ltd. 
  166.     from and against any claims or lawsuit, including attorney's fees, that arise or result 
  167.     from the use of distribution of programs distributed under this license, including any 
  168.     claim that Application Programs which you created under this license infringe any rights 
  169.     on any thirs parties.
  170.  
  171. 6.    COPYRIGHT. The PRODUCT is owned by Shetef Solutions Ltd. and is protected by ISRAEL, United 
  172.     states copyright laws and international treaty provisions. Therefore, you must treat the 
  173.     PRODUCT like any other copyrighted material (c.g. a book) except that you may make one 
  174.     copy of the PRODUCT solely for backup or archival purposes. You may not copy the written 
  175.     materials accompaning The PRODUCT.
  176.  
  177. 7.    OTHER RESTRICTIONS.This Shetef Solutions Ltd. License Agreement is your proof of license 
  178.     to exercise the rights granted herein and must be retained by you. You may not rent or 
  179.     lease the PRODUCT, but you may transfer your rights under this Shetef Solutions Ltd. 
  180.     License Agreement on a payment basis provided you transfer this License Agreement, 
  181.     the PRODUCT, and all accompanying written materials and retain no copies, and the 
  182.     recipient agrees to the terms of this agreement. You may not reverse engineer, decompile, 
  183.     or disassemble the PRODUCT. Any transfer of the PRODUCT must include the most recent 
  184.     update and all prior versions.
  185.  
  186. 8.    LIMITED WARRANTY. Shetef Sloutions Ltd. WARRENT THAT THE PRODUCT HAS BEEN ACCURATELY 
  187.     RECORDED ON THE MEDIA. IF THE PRODUCT HAS NOT BEEN ACCURATLY RECEIVED Shetef Solutions Ltd.
  188.     WILL REDISTRIBUTE THE PRODUCT UPON NOTIFICATION OF DEFECT. Shetef Solutions Ltd. 
  189.     DISCLAIMS ALL OTHER WARRANTIES EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO 
  190.     IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ALL 
  191.     OTHER REMEDIES FOR BREACH OF THE ABOVE WARRANTY. YOU ASSUME ALL RISKS WITH RESPECT TO 
  192.     THE ACCURACY, ADEQUACY, QUALITY, RELIABILITY, ANDPERFORMANCE OF THE PRODUCTS. ALL IMPLIED 
  193.     WARRANTIES WHICH MAY NOT REDISCLAIMED ARE LIMITED TO 30 DAYS. SOME JURISDICTIONS DO NOT 
  194.     ALLOW LIMITATIONS ON DURATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT 
  195.     APPLY TO YOU. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHER 
  196.     RIGHTS, DIFFRENT FROM THE WARRANTY OIVEN BY Shetef Solutions Ltd.

  198. 9.    Shetef Solutions Ltd. WARRENTS THAT IT CREATED AND OWNS THE PRODUCT, AND HAS FULL 
  199.     AUTHORITY AND RIGHTS TO ENTER INTO THIS AGREEMENT.
  200.  
  201. 10.    NO LIABILITY FOR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL Shetef Solutions Ltd. BE LIABLE 
  202.     FOR ANY DAMAGES WHATEVER (INCLUDING, WITHOUT LIMITATION, DAMAGE FOR LOSS OF BUSINESS 
  203.     PROFITS, BUSINESS INTERRUPTION. LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) 
  204.     ARISING OUT OF THE USE OF OR INABILITY TO USE THIS PRODUCT. EHATEVER IN AN ACTION BASED 
  205.     ON CONTRACT OR TORT, INCLUDING NEGLIGENCE OR STRICT LIABILITY, EVEN IF Shetef Solutions Ltd.
  206.     IS LIMITED IN THE AGGREGATE TO ONE DOLLAR, BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE 
  207.     EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES THE ABOVE 
  208.     LIMITATIONS MAY NOT APPLY TO YOU.
  209.  
  210. 11.    US GOVERMENT RESTRICTED RIGHTS. Shetef Solutions Ltd.'s software and documantation are 
  211.     provided with RESTRICED RIGHTS. Use duplication, or disclosure by the Goverment is subject
  212.     to restrictions as set forth in (c) (1)(ii) of the Rights in Technical Data and Computer 
  213.     Software clause at DFARS 252.227-7013 or subparagrafs (c)(1) and (2) of the Commercial 
  214.     Computer Software Restricted rights at 48 CFR S2.227-19, as applicable, 
  215.     Constractor/manufacturer is Shetef Solutions Ltd.
  216.  
  217. 12.    SEVERABILITY.Whatever possible, each provision of this agreement shall be interpreted in 
  218.     such a manner as to be valid and effective under applicable law. If any provision is 
  219.     invalid, the remaining provisions remain enforceable.
  220.  
  221. 13.    DISPUTE. The laws of the Israel control this agreement. it is enforcable 
  222.     by Shetef Solutions Ltd. and/or its distributors and dealers. Dispute will be finnally 
  223.     resolved by arbitration pursuant to UNCITRAL rules of arbitration and conducted in 
  224.     Haifa ISRAEL. The prevailing party in any action related to an illegal infringment of 
  225.     Shetef Solutions Ltd. proprietary rights is entitled to recover its costs and expenses, 
  226.     including reasonable attorney's fees.
